Terms of Use

1. Introduction

These Terms of Use ("Terms") govern your access to and use of the Split application, website, and related services (the "Service"), which is operated by Signal Studio Limited (NZ Company Number 8135662), a company registered in New Zealand ("Signal Studio", "we", "us", or "our"). Split is a product of Signal Studio Limited.

By accessing or using the Service you ("you" or the "User") agree to be bound by these Terms. If you do not agree, do not use the Service.

Signal Studio Limited, trading as Split, is the merchant of record for all transactions made through the Service.

3. The Service

Split is a native A/B testing platform built for Webflow. The Service includes:

• A Webflow Designer Extension for creating and managing A/B tests
• A client-side script (split.js) that serves variants to your website visitors
• A dashboard for viewing test results, statistical analysis, and managing experiments

We may update, modify, or discontinue features of the Service at any time. We will make reasonable efforts to notify you of significant changes.

4. Account Registration

To use the Service you must create an account. If you are an individual you must be 18 years of age or older to open an account, and you agree you are acquiring the Service for use in a business. If you are creating an account on behalf of a business, you warrant that you are authorised to bind that business to these Terms.

You agree to:

• Provide accurate and complete registration information and keep it up to date
• Keep your account credentials secure and confidential
• Notify us promptly at support@withsplit.com if you suspect unauthorised access to your account
• Accept responsibility for all activity that occurs under your account

We may suspend or terminate accounts that violate these Terms, that have unpaid fees, or that we reasonably believe are being used fraudulently.

5. Subscription and Payment

Split offers free and paid subscription plans. Details and current pricing are published on our website.

• Paid subscriptions are billed in advance on a monthly or annual cycle, depending on the plan selected.
• Payments are processed by Stripe on behalf of Signal Studio Limited. By subscribing you agree to Stripe's terms of service.
• Charges will appear on your card statement as "SPLIT" or "SIGNAL STUDIO".
• All prices are in US Dollars unless otherwise stated, and are exclusive of GST, VAT, sales tax and any other applicable taxes, which will be added where required by law.
• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• You may cancel at any time through your account settings or by contacting support@withsplit.com. Cancellations take effect at the end of the current billing period.
• If you select an annual subscription paid monthly, you remain liable for all twelve monthly instalments even if you cancel during the annual term.
• Except where required by law, there will be no refunds or credits for partial months, downgrade refunds, months unused on a cancelled account, or any billing period already commenced.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorised access to the Service, its servers, or any connected systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to distribute malware, viruses, or other harmful code
• Use the Service in a way that could damage, disable, or impair the Service for other users
• Scrape, crawl, or use automated means to access the Service without our prior written consent
• Resell, sublicense, or redistribute the Service without our authorisation
• Use the Service to test content that is unlawful, deceptive, or harmful to end users

7. Intellectual Property

All intellectual property rights in the Service, including the software, design, branding, documentation, and content, are owned by Signal Studio Limited and are protected by copyright and other intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service for the duration of your subscription.

8. Your Data

You retain all rights to the data you provide through the Service, including your website content, test configurations, and visitor analytics data. We do not claim intellectual property rights over your content.

You grant us a limited, worldwide, royalty-free licence to process your data solely to provide, secure and improve the Service. Our handling of personal data is described in our Privacy Policy. A Data Processing Agreement is available on request.

We may use anonymised and aggregated data derived from use of the Service for internal research, analytics and product development.

9. Webflow Integration

The Service integrates with Webflow through Webflow's official APIs and Designer Extension platform. Your use of Split in connection with Webflow is also subject to Webflow's terms of service. We are not responsible for changes to Webflow's platform that may affect the functionality of Split.

10. Service Availability

We aim to keep the Service available, but we do not guarantee that it will be uninterrupted, error-free, or free from security incidents. The Service may be subject to limitations, delays, and other issues inherent in internet-based services.

We may temporarily suspend the Service for maintenance, updates, or other operational reasons, and will make reasonable efforts to provide advance notice of planned downtime where practicable.

11. Warranties and Statutory Carve-Outs

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy of results, or non-infringement.

Signal Studio Limited and the User agree that they are supplying and acquiring goods and services for business purposes and pursuant to section 5D of the Fair Trading Act 1986 (FTA) they contract out of sections 9, 12A, 13 and 14(1) of the FTA, and pursuant to section 43 of the Consumer Guarantees Act 1993 (CGA) they agree that the provisions of the CGA do not apply to these Terms. The parties acknowledge that it is fair and reasonable for those provisions to be excluded.

12. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, goodwill, revenue, savings, business opportunity, or costs of data recovery.
• Our total aggregate liability to you for all claims arising from or related to the Service will not exceed the total fees you paid to us under these Terms in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or liability for fraud or wilful breach.

13. Indemnification

You agree to indemnify and hold harmless Signal Studio Limited, its directors, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, any content or tests you run through the Service, or your breach of these Terms or of applicable law.

14. Termination

Either party may terminate this agreement at any time:

• You may cancel your account through your account settings or by emailing support@withsplit.com.
• We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or if we reasonably believe continued access poses a risk to the Service or to other users.

On termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to comply with legal obligations, after which it will be deleted in accordance with the Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. When we make changes we will update the "Last updated" date above. For material changes we will notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service.

16. Governing Law

These Terms are governed by the laws of New Zealand. The parties submit to the exclusive jurisdiction of the courts of New Zealand in respect of any dispute arising from these Terms or your use of the Service.
